I have read and agree to abide by the Community Publisher Agreement below Community Publisher Agreement This Agreement (the "Agreement") is between you, an independent contractor, and GetLocalNews, Inc., hereafter referred to as "GLN". In consideration of the covenants and conditions hereinafter set forth, GLN and You agree as follows: 1. TERMS OF SERVICE This agreement is subject to The GetLocalNews.com Terms of Service. Except for the following provisions specifically addressed in this agreement. 2. DOMAINS Domains purchased by you will remain yours. Domains owned by GLN will remain the property of GLN. 3. SERVICES GLN will provide You with access to and use of GLN Software and content on the GetLocalNews.com network subject to the GetLocalNews.com Terms of Service. 4. Prohibited Uses You shall not authorize or encourage any third party to generate fraudulent page views, unique users or ad clicks on any ad(s), and including but not limited to through the use of robots or other automated query tools and/or computer generated search requests. Violation of any of the foregoing may result in immediate termination of this agreement, and may subject You to state and federal penalties and other legal consequences. 5. PAYMENT You will sign up for and comply with the Goolge.com Adsense (www.google.com/adsense) program. You will keep all Google ad revenues and these will be paid directly to you by Google. In addition, GLN and You agree to split net revenues generated by advertising purchased directly on your site, or sites, equally, this excludes regional or national adverstising that may appear on your site but was not directly purchased on your site. Net revenues are defined as Gross Revenues generated by ads purchased directly on your site less credit card processing fees and credit card charge-backs or fraud. Checks will be mailed on the 15th day following the end of each quarter. Notwithstanding the foregoing, GLN shall not be liable for any payment based on (a) any fraudulent impressions generated by any person, bot, automated program or similar device or for fraudulent clicks similarly generated on any Ads, as reasonably determined by GLN; (b) Ads delivered to end users whose browsers have JavaScript disabled; (c) Ads benefiting charitable organizations and other placeholder or transparent Ads that GLN may deliver in the event that a Site is improperly configured to comply with GLN or third party ad serving technical requirements; or (d) GLN advertisements for its own products and/or services. GLN reserves the right to withhold payment or charge back Your account due to any of the foregoing, any breach of this Agreement by You or in the event that You or an advertiser whose Ads are displayed on your Site(s) defaults on any payment due to GLN. To ensure proper payment, You are solely responsible for maintaining accurate contact and payment information associated with Your account. Any bank fees related to returned or canceled checks due to a contact or payment information error will be deducted from the newly issued payment. You agree to pay all applicable taxes or charges imposed by any government entity in connection with Your participation in the Program. GLN may change its pricing and/or payment structure at any time. If You dispute any payment made under the Program, You must notify GLN in writing within thirty (30) days of any such payment; failure to so notify GLN shall result in the waiver by You of any claim relating to any such disputed payment. Payment shall be calculated solely based on records maintained by GLN. No other measurements or statistics of any kind shall be accepted by GLN or have any effect under this Agreement. The payments made under this Agreement are for use by You only and may not be transferred or in any manner passed on to any third party unless expressly authorized in writing by GLN. 6. LIMITATION OF LIABILITY GLN will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement, even if GLN has been advised of the possibility of such damages. Further, GLN's aggregate liability arising with respect to this Agreement and the Program will not exceed $100. 7. TERMINATION Either party can terminate this Agreement at any time. Upon termination GLN shall retain ownership of the top level domains purchased or owned by GLN and assigned to you. You will retain ownership of all top level domains purchased and owned by you. Transfer of domain(s) purchased by you and/or hosted by GLN to another registrar or host will be construed as de facto termination. 8. DISCLAIMERS GLN makes no representation that the operation of the sites assigned to You or any GLN site will be uninterrupted or error-free, and GLN will not be liable for the consequences of any interruptions or errors. 9. INDEPENDENT INVESTIGATION YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CONTENT ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THIS AGREEMENT AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. 10. INDEMNITY You agree to indemnify, defend, and hold GLN and its successors, officers, directors, agents and employees harmless from any and all actions, causes of action, claims, demands, cost, liabilities, expenses and damages arising out of, or in connection with any breach of this Agreement by You. 11. RELATIONSHIP OF PARTIES You are an independent contractor of GLN. Nothing in this Agreement shall be construed as creating an employer-employee relationship, or a partnership, joint venture, agency, franchise, sales representative, or as a guarantee of future relationship. You further agree to be responsible for all of Your federal and state taxes, withholding, social security, insurance, and other benefits. You will not make any statement that would contradict anything in this Section. 12. Confidentiality You agree not to disclose GLN Confidential Information without GLN's prior written consent. "GLN Confidential Information" includes without limitation: (a) all GLN software, technology, technical specifications, materials, guidelines and documentation; (b) statistics relating to Site performance provided to you by GLN; and (c) any other information designated in writing as "Confidential" or an equivalent designation or disclosed in a manner in which the recipient of such information should have reasonably understood under the circumstances that the disclosure should be treated as confidential, whether or not the specific word or mark "confidential" is used. It does not include information that has become publicly known through no breach by You or GLN, or information that has been (i) independently developed without access to GLN Confidential Information, as evidenced in writing; (ii) rightfully received by You from a third party; or (iii) required to be disclosed by law or by a governmental authority. 13. MISCELLANEOUS (a) Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to conflict of law principles. (b) Entire Agreement. This Agreement, and the GetLocalNews.com Terms of Service contain the entire agreement and understanding between the parties hereto and supersedes any prior or contemporaneous written or oral agreements, representations and warranties between them respecting the subject matter hereof. (c) Amendment. This Agreement and the GetLocalNews.com Terms of Service may be amended from time to time by GLN, a current version can be viewed at any time at: http://getlocalnews.com/cpublisher.cfm#cpa (d) Severability. If any term, provision, covenant or condition of this Agreement, or the application thereof to any person, place or circumstance, shall be held to be invalid, unenforceable or void, the remainder of this Agreement and such term, provision, covenant or condition as applied to other persons, places and circumstances shall remain in full force and effect. (e) Construction. The headings and captions of this Agreement are provided for convenience only and are intended to have no effect in construing or interpreting this Agreement. The language in all parts of this Agreement shall be in all cases construed according to its fair meaning and not strictly for or against either party. Any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply to interpreting this Agreement. (f) Rights Cumulative. The rights and remedies provided by this Agreement are cumulative, and the exercise of any right or remedy by either party hereto (or by its successor), whether pursuant to this Agreement, to any other agreement, or to law, shall not preclude or waive its right to exercise any or all other rights and remedies. (g) Nonwaiver. No failure or neglect of either party hereto in any instance to exercise any right, power or privilege hereunder or under law shall constitute a waiver of any other right, power or privilege or of the same right, power or privilege in any other instance. All waivers by either party hereto must be contained in a written instrument signed by the party to be charged and, in the case of the GLN, by an officer of the GLN or other person duly authorized by the GLN. (h) Notices. Any notice, request, consent or approval required or permitted to be given under this Agreement or pursuant to law shall be sufficient if in writing, and if and when sent by certified or registered mail, with postage prepaid, to Your residence, or to the GLN's principal office, as the case may be. (i) Disputes. Any controversy, claim or dispute arising out of or relating to this Agreement or the relationship, either during the existence of the relationship or afterwards, between the parties hereto, their permitted assignees, their affiliates, their attorneys, or agents, shall be resolved solely by confidential binding arbitration in San Francisco under the commercial arbitration rules of JAMS. Each party shall bear its own attorneys' fees and costs. (j) Assignment. You may not assign or subcontract any of his rights or obligations hereunder. The rights of GLN hereunder are freely assignable, transferable, and licensable. GetLocalNews.com provides its service to you, subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. In addition, when using particular GetLocalNews.com services, you and GetLocalNews.com shall be subject to any posted guidelines or rules applicable to such services that may be posted from time to time. DESCRIPTION OF SERVICE GetLocalNews.com websites currently provides users with access to a rich collection of on-line resources, including, various communications tools, online forums, shopping services, personalized content and branded programming through its network of properties (the "Service"). Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new GetLocalNews.com properties, shall be subject to the TOS. You understand and agree that the Service is provided "AS-IS" and that GetLocalNews.com assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. In order to use the Service, you must obtain access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must provide all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. YOUR REGISTRATION OBLIGATIONS In consideration of your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or GetLocalNews.com has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, GetLocalNews.com has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). GetLocalNews.com is concerned about the safety and privacy of all its users. 4. MEMBER ACCOUNT, PASSWORD AND SECURITY You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify GetLocalNews.com of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. GetLocalNews.com cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4. 5. MEMBER CONDUCT You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not GetLocalNews.com, are entirely responsible for all Content that you upload, post, email or otherwise transmit via the Service. GetLocalNews.com does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will GetLocalNews.com be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Service. You agree to not use the Service to: a. upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; b. harm minors in any way; c. impersonate any person or entity, including, but not limited to, a GetLocalNews.com official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity; d. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service; e. upload, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); f. upload, post, email or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party; g. upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as shopping rooms) that are designated for such purpose; h. upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; i. disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges; j. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; k. intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law; l. You acknowledge that GetLocalNews.com does not pre-screen Content, but that GetLocalNews.com and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service. Without limiting the foregoing, GetLocalNews.com and its designees shall have the right to remove any Content that violates the TOS or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. PUBLIC CONTENT POSTED TO GetLocalNews.COM (a) For purposes of the TOS, "publicly accessible areas of the Service" are those accessible by the general public. By way of example, a publicly accessible area of the Service would include public GetLocalNews.com Readers Write, Reader's Report, Community Editor and Community Publisher News and Subject Pages and GetLocalNews.com Message Boards, but would not include private GetLocalNews.com Clubs or private GetLocalNews.com communication services such as GetLocalNews.com Mail. (b) With respect to Content you elect to post for inclusion in publicly accessible areas of GetLocalNews.com, including: photos or other graphics, audio files and video files of any kind, you grant GetLocalNews.com the royalty-free, perpetual, irrevocable, non-exclusive and fully sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed. 8. INDEMNITY You agree to indemnify and hold GetLocalNews.com, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post to or transmit through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another. 9. NO RESALE OF SERVICE You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service. 10. GENERAL PRACTICES REGARDING USE AND STORAGE You acknowledge that GetLocalNews.com may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that email messages, message board postings or other uploaded Content will be retained by the Service, the maximum number of email messages that may be sent from or received by an account on the Service, the maximum size of any email message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on GetLocalNews.com's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that GetLocalNews.com has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that GetLocalNews.com reserves the right to log off accounts that are inactive for an extended period of time. You agree that any termination of your access to the Service under any provision of this TOS may be effected without prior notice, and acknowledge and agree that GetLocalNews.com may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. DEALINGS WITH ADVERTISERS Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that GetLocalNews.com shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service. 14. LINKS The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because GetLocalNews.com has no control over such sites and resources, you acknowledge and agree that GetLocalNews.com is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that GetLocalNews.com shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource. 15. GetLocalNews.COM'S PROPRIETARY RIGHTS You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by GetLocalNews.com or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. GetLocalNews.com grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. GetLocalNews.COM MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. c. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. d.
